Shiv - split pushing or more aoe team fighting damage. e.g Tyrndamere or Sion
PD - Should be mostly brought by most ADC's as it is their role to carry and deal physical damage primarily. The unique passive isn't as great as Shiv's dmg wise but can ultimately save your champion from being creeped blocked o.O.
Note: On ADC's Shiv's much better for early game champions but late game phantom dancer generally outshines.

Shiv does more damage than PD when you don't have other items, making Shiv a strong item to rush considering how cheap it is, but late-game on Tryndamere if you had to choose between PD and Shiv, PD would be better.
