It depends ont he champ using it. Its a nice item, but you have to make it work for you... you dont just cuz you buy Warmog's

Consider that when buying a Warmog's Armor vs. a Thornmail, even at 300 armor, you're only getting about .33 effective health per gold more. At 245, more armor/magic resist is probably going to pay off. I've yet to see a build that can effectively reach over 250 armor and magic resist each while also having room for a Warmog's.
Warmog's isn't a bad item. The problem with it is that it only manages to shine late-game, when your armor and magic resist are both through the roof, and then you generally don't have time to farm it up, or the utility from, say, an Aegis or an Abyssal Scepter would just be superior on it.
Also consider that your 250 MR is made much weaker by their magic penetration, so you'll need to buy a lot more MR in-game to compensate for that penetration/MR reduction.

Warmog's is a very utility item, and depending on the champion you might get it on, it may not even be worth it (Mordekaiser for example). It isn't uncounterable, just makes it take an extra 5 seconds to focus you down after my team killed the rest of yours for the ace.
Jebus is quite right though, Warmogs does indeed shine late game if you can farm it up when you already have armor/MR established, otherwise I really don't see a point in getting it unless you are going combo it with Atma's for a beefy dps champ or if you're Mundo, Mundo builds what he pleases....

getting a warmogs late game and you might not have time to farm it to its full potential.
getting it early game, while being able to farm it up throughout the entire game, will hurt you because you don't have much armor or magic resist. its worthless without them.
although does anyone find it funny that its called warmog's armor but you don't get any armor bonus?

Yes caucheka, I do find that funny. The other thing is, it is only worth it once you fully farm it up, the only stats that it gives you are health, and health regen, and these are again, very utility/late game stats.

Don't say the bloodrazor; with my build which gives me 245 MR at the end it only deals 1.16% max health which makes it horrible.
