It would be better to build out of
Needlessly Large Rod and
Hextech Revolver. Otherwise, it's a good idea. I'd up the value of the AP a little bit, depending on how expensive it is.

Why it shouldn't stack with bloodthirster? This are 2 completly different items with completly different purpose. The spellvamp should be unique, otherwise you could easily stack it.
As already said, it should build out of
Needlessly Large Rod and
Hextech Revolver. Price would be 3800. The starting AP should be 120 and it should stack up to 160. But the spellvamp should be 10% and stack up to 18% since spellvamp is already OP.
This item would be on the same level like
Rabadon's Deathcap. And would mage mages totally OP. Just think about this+
Rabadon's Deathcap+
Will of the Ancients. You will rape anything.
I think, removing the stacking system and just make it 120 AP + 15 % spellvamp for 3400 gold would be better.

I'm going to have to agree with you on that one.
I believe that it should stack with the bloodthirster because of Hybrids. Because then it would just totally destroy if say Ezreal got one. He would be healing like it's his job. The Ap and Ad stacked together would be overpowered.

Lifesteal + spellvamp on hybrid characters won't make them OP, trust me.

True. I see what you mean now. But I still think the combination of the Spellstealer combined with the bloodthirster would still be to overpowered. I think maybe though, the combination of the spellstealer and the bloodthirster would be a good idea, but about 5450 gold or something around those lines.
The combination of
Rabadon's Deathcap and Spellstealer is already overpowered. What now?
Or the combination of Spellstealer and
Will of the Ancients.
BTW: Don't forget

Hextech Gunblade+
Will of the Ancients+
Bloodthirster+
Warmog's Armor+Spellstealer+boots, even without the stacking system, he will 1vs5 anyone.

Instead of building AD and Life Steal, it builds spell vamp and AP.
Starts off with +55 AP and can earn a bonus +40 (adding up to 95 AP)
And spell vamp starts off with +15% and adds up to +20% (+5% over +40 stacks)
and it does NOT stack with the bloodthirster.
The two items that it would build with are a Soul Stealer and a Hextech Revolver
