i'd say it is true if you already have 500 armor/mres.
flat penetration counterplays low resistances.
resistances will only counter % penetration if you still find yourself in a low derivative value area. otherwise it will resemble true damage, therefore you'd rather get HP.
So why not get some HP while getting other worthwhile stats, as
Sunfire Aegis and
Frozen Mallet provide?

He becomes very squishy for those 72 (or a little less) seconds without any other kind of mitigation. With 20% CDR he can use it almost once per minute. That's another way to do it.
