The wording says "Unique passive: 40% armor pend" which means you can only use this effect once. The "Unique passive" clause is a frequent and IMPORTANT part of items wording :)
Your first example is right, it means it'll affect ALL your physical attacks (including physical abilities) so that 200 armor would only mitigate as if there was 120 armor.

But no, say the enemy has 200 Armor, and you autoattack him holding a Last Whisper. You will attack him as if he has 120 Armor since 40 % of his Armor is negated.

tbh 200/(0.5)=200/(1/2)=200*2=400
its actually
armor*(1-armorpen)
aka
200*(1-0.4)(1-0.1)=200*0.54=200*(1-.46)=108 armor
with effective 46% armor pen
interesting thing is: reduction before penetration
flat pen before % pen
and cooldowns are calculated additively while penetrations are calculated multiplicatively leading to diminishing returns

i.e. Their armor decreases AD by 50% and it now decreases your AD by 10%.
Also, does its effects stack? As in this plus another one plus another one gives me 100% Armor Penetration.
I am not trying to build 3 Last Whispers. I would just like to understand its mechanics a bit more.
