Built from:
Glacial Shroud
Kindlegem

Cost:
Recipe--1075
Total--3600

Stats:
+500 Max Mana
+250 Max Health
+45 Armor
+20 Ability Power
+5 Mana Regen per 5
+10 Health Regen per 5
Unique Passive: 25% reduced cooldowns, 25% Spell Vamp.
Unique Active: All ability cooldowns immediately reduced by ten seconds. Additionally, half of magic damage dealt is returned as Mana. Lasts 4 seconds. Scoring a kill extends the duration by 2 seconds, an assist by 1 second. Cooldown: 240 seconds. Cooldown not affected by Cooldown Reduction.

Notes: I realize that it looks OP at first, but notice a few things. One, it's really freaking expensive (Comparatively, anyway). Two, the Spell Vamp is unique, so you can't run around with 150% Spell Vamp with six of these. Three, one of the basic rules of item-building in League of Legends is that an item that gives 10 armor won't build into something that gives 8 armor and something else. This item follows that rule. Four, the cooldown on the active is longer than several summoner spells. Feedback please!

[Edits]
Recipe price increased to 1075 from 875.
Removed Health and Mana Regen per 5 bonuses from Unique Passive, just a bit too OP with them.
Cooldown-negation only affects Q, W, and E skills, nothing else.
Cooldown on active increased to 240 seconds from 180.
Nerfed active big-time: Cooldowns not reset, but reduced by 10 seconds and removed Health-restoring part of active. LOOK AT ITEM THREE OF THE NOTES! Please, it explains so much.
Cooldown Reduction decreased to 25% from 30%.

Still quite OP. Tryndamere can get one of these just to have a 10 second period of invincibility that can't be stopped by any means whatsoever. Same goes for Kayle, albeit a little less extreme. That's just off the top of my head.

Also double Annie bombs, double Veigar bombs, and generally repeats of obscenely powerful combos on champions that are only meant to use them once in a short fight.

The active should only reset the cooldown of the last used skill (before an ultimate). And it shouldn't give AP imho.

Still seems pretty strong, to be honest. Veigar could still abuse the **** out of this. Stun, Dark Matter, Q, Ultimate, pop item, stun again, Dark Matter, Q. Penta kill.

To be honest, it would still be a great item if you just dropped the active, lowered the price substantially (maybe to 3000 or so) and lowered the spell vamp/CDR a bit, maybe to 25%/20%.

But again, the idea behind LoL's item-building is that an item that gives 10 armor and one the gives 20 won't build into an item that gives 25 armor, and the CDR items work in the same way. But the active can definitely be nerfed, I threw that in last-second. One sec.

Is this not the ultimate 'new Ryze' item?

Hell, you should rush this item. 30% CDR combined with 10% from your Overload passive brings you to the cap. Then the combo becomes:

Overload
Desperate Power
Rune Prison
Spell Flux
Overload
*Pop Crystal Ball active*
Rune Prison
Spell Flux
Overload

With 40% spell vamp, you deal roughly 1570 magic damage, plus 40% of your maximum mana, plus 3.9 of your ability power. The combo also involves a 4 second root and 50% AoE damage.
