1. The maximum stacks of Black Cleaver cannot stack. The only part that stacks, or did stack, is the amount of stacks it gave per attack - so after one attack you would penetrate 30, instead of 15, armor. The maximum is still 45. Sorry if that was confusing; a lot of "stack"ing.
2. And I was thinking about using Sword of the Divine as well. I think it goes well with Headshot. If you were attacking from a bush, it takes four auto attacks to proc Caitlyn's passive, which is also how long is takes to proc SotD's passive. I know it doesn't always match up, but I'm an optimist.
3. Wit's End is a really good idea. With the recent change, it also does damage to enemies without mana :D Hmmm...

Even if 2 black cleavers = 6 stacks, I'd suggest Sword of the Divine over the 2nd black cleaver. In this case, you'd be able to use the active when ulting or using your Q so you don't have to auto attack to get that much more stacks of the black cleaver for armor pen. Not everyone likes sword of the occult (including me), but since I respect others' opinions I'd at least ask you provide an alternative to that item. Though this is completely preference, getting Wit's End might provide enough MR for you over banshee's veil. This is just a suggestion, and I'd be happy with this portion of the build either way.
Overall, this is a build with good potential, but you might want to flesh some stuff out before you posted it. Your description could take some bulk too.
