your wasting money you could have spend better on a catalyst or sth else.
better use the money on defensive items than on a shield you might get lategame, which is an aktive.ppl will mostly likly forgot about using it anyways or as someone mentioned it will just bursted by 1-2 autoattacks from a midgame carry.
the only champions i see this working would be either ryze or sona on all random all mid.
@ psyco: amumu would benefit from this item if you would play hello kitty online the first 40 minuts and then enter the game with the full stacked item.

As for new AA on Swain, it has the potential to work, but since his ulti costs more mana the more time it's on, you probably will still need a reliable mana regen source (not just "let's count on blue")

RoA + Tear seems like a good way to go.
