I think this skill will be very difficult to balance partly because of the reason you stated here. 1v1 the ability to dodge all attacks could seem annoying to say the least and the stun at the end of the duration would just be icing on an "oh sh*t" cake.
But, at the same time, this also forces the player to decide in a teamfight to save his counter strike for when he gets focused, or use it to disrupt an enemy team.
I just hope that when riot said that this ability will "dodge all incoming attacks" when activated they only mean auto attacks.
